MAINTENANCE AND SERVICE AGREEMENT

This Maintenance And Service Agreement (the “Agreement”) is entered into by and between Glenn & Sons, Corp., a Delaware corporation with its principal office at 4915 Center Street, Chicago, IL 60698, EIN 72-6695170 (“Contractor”) and White-Powell Group LLC, a limited liability company with its principal office at 9319 Cedar Lane, Denver, CO 80272, EIN 62-1470551 (“Customer”).

1. DEFINITIONS
1.1 “Confidential Information” means all non-public business and technical information.
1.2 “Business Day” means any day other than a Saturday, Sunday or U.S. federal holiday.

2. SCOPE
2.1 Contractor shall perform scheduled maintenance of the HVAC systems at Customer's facilities, including two preventive inspections per year.

3. FEES AND PAYMENT
3.1 Customer shall pay Contractor $48,220 per year, exclusive of applicable sales tax ($52,499.53 including 8.88% sales tax).
3.2 Invoices are payable within thirty (30) days of the invoice date.

4. TERM AND TERMINATION
4.1 This Agreement shall become effective on the first day of the calendar month following the date of its signature.
4.2 This Agreement shall continue until terminated as provided herein.
4.3 Either party may terminate this Agreement for convenience upon one (1) month' prior written notice to the other party.

5. CONFIDENTIALITY
5.1 Each party shall keep the other party's Confidential Information strictly confidential.
5.2 For each breach of this obligation the breaching party shall pay liquidated damages of $5,000.

6. MISCELLANEOUS
6.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
6.2 This Agreement constitutes the entire agreement between the parties.
